11 July 2001 - the Government adopted Resolution No. 526 "În reforming power engineering of the Russian Federation" which started the electricity sector restructuring. 31 March 2004 - the General Meeting of the shareholders ruled to restructure ÎJSC "Êirovenergo" by spinning off ÎJSC "Êirov Power Sales Company", ÎJSC "Vyatka Electricity and Heat Company", ÎJSC "Kirovenergo Operating Company". 27 April 2004 - the General Meeting of the shareholders ruled to restructure ÎJSC "Chuvashenergo" by spinning off ÎJSC "Chuvashia Generating Company", OJSC "Chuvashia Power Sales Company", ÎJSC "Cheboksary HPP", ÎJSC "Chuvashia Operating Company", OJSC "Chuvashia Transmission Grids". 30 June 2004 - the General Meeting of the shareholders ruled to restructure ÎJSC "Chuvashenergo" by spinning off ÎJSC "Udmurtia Territorial Generating Company", OJSC "Udmurtia Power Sales Company", ÎJSC "Udmurtia Operating Power Company", OJSC "Udmurtia Transmission Grids". 31 March 2004 - the General Meeting of the shareholders ruled to restructure ÎJSC "Marienergo" by spinning off ÎJSC "Mari Regional Generating Company", OJSC "Mari Power Sales Company", ÎJSC "Mari Regional Operating Company", OJSC "Mari Transmission Grids". 1 January 2005 - state registration of ÎJSC "Mari Regional Generating Company", ÎJSC "Udmurtia Territorial Generating Company", ÎJSC "Chuvashia Generating Company". 22 March 2005 - state registration of ÎJSC "Òårritorial Generating Company ¹5" (ÎJSC "ÒGC-5") at the inspectorate of the Federal Tax Service for the Lenin district of Cheboksary. The assets of ÎJSC "Mari Regional Generating Company", ÎJSC "Udmurtia Territorial Generating Company", ÎJSC "Chuvashia Generating Company" and ÎJSC "Vyatka Electricity and Heat Company" situated in four administrative bodies of the Russian Federation - the Republic of Chuvashia, the Republic of Udmurtia, the Republic of Mari El, Kirov Region - were incorporated into OJSC "TGC-5" as leased entities. 1 May 2005 - state registration of ÎJSC "Vyatka Electricity and Heat Company". 1 July 2005 - beginning of operations of OJSC "TGC-5" according to generating assets lease schedules in the republics of Mari El, Chuvashia, Udmurtia and Kirov Region. December 2005 - at the special General Meetings of shareholders of ÎJSC "Mari Regional Generating Company", ÎJSC "Udmurtia Territorial Generating Company", ÎJSC "Chuvashia Generating Company" and ÎJSC "Vyatka Electricity and Heat Company it was decided that they should be reorganized by being incorporated into OJSC "TGC-5". 31 March 2006 - making an entry in the United state register of juridical persons about the cessation of activities of ÎJSC "Chuvashia Generating Company", ÎJSC "Udmurtia Territorial Generating Company", ÎJSC "Mari Regional Generating Company" and ÎJSC "Vyatka Electricity and Heat Company" as a result of merger with OJSC "TGC-5" - OJSC "TGC-5" was the first of generating companies of RAO UES to complete the formation of target structure. 17 July 2006 - OJSC "TGC-5"'s shares were admitted to OJSC "RTS" auction in the section of outlisted securities. 20 July 2006 - OJSC "TGC-5"'s shares were admitted to be traded at CJSC "FB MMVB" in the section of outlisted securities and at NP RTS in the section of the list of "Securities admitted to circulation but not listed". 15 November 2006 - OJSC "TGC-5"'s shares were admitted to be traded at NP "RTS" in Rate List "B". 24 November 2006 - the beginning of trading of OJSC "TGC-5"'s shares in List "B" of FB MMVB. 8 December 2006 - at the General Meeting of the shareholders of RAO UES it was decided to start restructuring of UES by separating TGC-5 and OGC-5. 09 January 2007 - in connection with restructuring of RTS Group of companies and the transfer of Classical market auctions from NP RTS to OJSC "RTS" OJSC "TGC-5"'s shares were cancelled from List "B" of NP "RTS" and admitted to be traded in Rate List "B" of OJSC "RTS". 18 January 2007 - at the General Meeting of ÎJSC "Òårritorial Generating Company ¹5" it was decided to increase the capital of OJSC "TGC-5" by placing common inscribed stock of 329.734.150.582 shares with the nominal value of 1 copeck each. 05 April 2007 – The Federal Service for Financial Markets registered an additional issue of OJSC “TGC-5” shares under No 1-01-12190-Å-008D. 19 April 2007 – OJSC “TGC-5” extraordinary General Shareholders Meeting ratified reorganization of OJSC “TGC-5” by joining to it OJSC “TGC-5-Holding”. 07 May 2007 – OJSC “TGC-5” started the procedure of placing additional ordinary registered shares in the number of 329 milliard 734 million 150 thousand at nominal value of 1 copeck per share; also the price of placing shares was determined at 3.5283 copecks per share. 18 May 2007 – OJSC “TGC-5” summarized the results of purchasing additional shares by preferential right; this procedure led to placing 20.99 % of additional issue shares. 08 June 2007 – OJSC “TGC-5” declared placing the shares of additional issue completed. As a result, the company “IES-Holding” became a strategic shareholder, having increased its portion to 41 per cent of the stock. 09 June 2007 – annual OJSC “TGC-5” General Shareholders Meeting took place. It ratified the year accountability, took a decision on dividend payments for 2006, confirmed the company’s auditor and elected the new membership of the Board of Directors. 6 representatives of RAO “UES of Russia” and 5 representatives of IES Holding, the new strategic shareholder of OJSC “TGC-5”, became the Board’s members. 19 June 2007 – OJSC “TGC-5” Board of Directors appointed Eduard Yurievich Smelov the General Director of the company and Vladimir Albertovich Lebedev Chairman of OJSC “TGC-5” Board of Directors. On September 3, 2007 “TGC-5 ” Open JSC was reorganized in the form of incorporation of “TGC-5 Holding” Open JSC. As a result RAO “UES of Russia” OJSC shareholders got TGC-5 shares at their disposal. Thereby TGC-5 was separated from RAO “UES of Russia” and became the first Russian private territorial generating company established within the power industry reform. On May 23, 2008 General annual shareholders’ meeting took place, in the course of which there was approved a decision to transfer the authority of a sole executive body of TGC-5 to the managing company.
On June 5, 2008 TGC-5 Board of Directors terminated the authority of Eduard Smelov as the CEO of the Company and transferred the authority of a sole executive body of TGC-5 to the managing company – “Integrated Energy Systems” Closed JSC.
